AudioCutPro Terms of Service

Welcome to AudioCutPro (the "App"). These Terms of Service (the "Terms") form a legal agreement between you and Hangzhou Huanyin Technology Co., Ltd. (the "Company," "we," "us," or "our"), the developer and operator of AudioCutPro, governing your download, installation, registration, and use of the App and the related services. Please read these Terms carefully before using the App, particularly the clauses in bold, and make sure you understand and accept them. By tapping accept or by starting to use the App, you agree to be bound by these Terms in full.

If you do not agree with any part of these Terms, please stop downloading or installing the App and uninstall it immediately.

1. Acceptance and Amendments

1.1 You must have the legal capacity required by applicable law in order to use the App. Minors should only use the App with the consent of, and under the supervision of, a parent or legal guardian; see Section 11.

1.2 We may revise these Terms from time to time to reflect legal, regulatory, or product changes. The revised version will be communicated through in-app notice, website announcement, or banner. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the App.

2. Description of the Service

2.1 AudioCutPro is a local-first audio and video editing toolkit for iPhone and iPad. Core features include but are not limited to:

2.2 The overwhelming majority of these features run entirely on your device. Only AI Vocal Separation transmits the audio segment you select to our server for AI inference. See the Privacy Policy for details.

3.1 Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable, limited, non-commercial license to download, install, and use the App on Apple devices that you own or lawfully control.

The App currently does not require account registration; you can use most features without providing personal identifying information. If an account system is introduced in the future, you are responsible for safeguarding your credentials and bear any loss arising from your own disclosure.

5. User Content

5.1 "User Content" means audio, video, project files, and derivative works that you import, record, edit, or share through the App.

5.2 Rights and responsibilities

5.3 By default, User Content is stored only in the App's local sandbox. We do not proactively read, analyze, share, or publicize your User Content. Only the AI Vocal Separation feature uploads the audio segment you explicitly select, and the segment is erased server-side immediately after processing.

6. Intellectual Property

6.1 All intellectual property in the App (including without limitation copyrights, trademarks, patents, trade secrets, and other proprietary rights) is owned by us or our licensors. Except with our prior written authorization, you may not use any of the App's trademarks, logos, interface design, copy, icons, fonts, sounds, or other elements.

6.2 The App incorporates open-source components (such as FFmpeg, SnapKit, Realm, SDWebImage, Lottie, MatomoTracker, among others) under their respective open-source licenses. The corresponding license notices are available in the "About" page of the App or on this website.

6.3 You retain all intellectual property rights in the User Content you create through the App.

7. Availability and Changes

7.1 Certain features depend on third-party platforms (such as Apple iCloud, Cloudflare, and Replicate). Their availability may be affected by network conditions, third-party status, applicable laws, or force majeure. We make no guarantee of uninterrupted, absolute, or error-free service.

7.2 We may add, modify, reduce, or suspend features of the App as operationally needed. Material changes affecting your core rights will be announced in advance through the App or this website.

7.3 We may carry out maintenance, upgrades, or migrations as needed. You acknowledge that brief service interruptions may occur in such cases.

8. Paid Content and Subscriptions

8.1 The App may offer one-time in-app purchases or recurring subscriptions. All payments are handled by the Apple App Store. We do not receive, store, or access your payment credentials (including card numbers or your Apple ID password).

8.2 You can review, manage, or cancel subscriptions in iOS Settings → your Apple ID → Subscriptions. Refunds are governed by the Apple App Store refund policy.

8.3 Specific pricing, renewal terms, and trial information are presented to you by the App Store at the time of purchase and prevail over any other description.

9. Disclaimers and Limitation of Liability

9.1 The App is provided on an "as is" and "as available" basis. We make no express or implied warranties regarding merchantability, fitness for a particular purpose, non-infringement, continuous availability, or that the App will meet your specific requirements.

9.2 To the maximum extent permitted by applicable law, we are not liable for any direct, indirect, incidental, special, punitive, or consequential damages (including loss of data, revenue, goodwill, or hardware damage) arising out of or in connection with your use of, or inability to use, the App, whether based on contract, tort (including negligence), strict liability, or any other legal theory.

9.3 We are not liable for failures or interruptions caused by force majeure (including without limitation natural disasters, war, strikes, government action, backbone-network outages, computer viruses, or hacking). We will make reasonable efforts to restore service.

10. Termination

10.1 You may terminate this agreement at any time by uninstalling the App. Uninstalling will also remove all local data inside the App's sandbox; please back up anything you wish to keep beforehand.

10.2 If you violate these Terms, applicable laws, or our published operational rules, we may suspend or terminate the service to you and seek the remedies available to us under law.

11. Minors

11.1 If you are under 18, please read and accept these Terms together with your parent or legal guardian and use the App under their supervision.

11.2 The App is not directed at children under 14. If you are a guardian of a child under 14 and you find that the child has used the App and made payments without your consent, please contact us using Section 13 below and we will assist in resolving the matter.

12. Governing Law and Dispute Resolution

12.1 These Terms are governed by the laws of mainland China (excluding conflict-of-laws rules), regardless of where you access the App.

12.2 Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiation. If the parties cannot reach a settlement, either party may submit the dispute to the people's court with competent jurisdiction at the operator's place of business.
